中文摘要 | 臺灣社會中企業可分為「關係取向」的大型企業,以及「市場取向」的中小型企業。其中,家族企業型態佔了絕大多數。家族企業,常出現高階管理階層,以及一般管理階層不同性質的管理與互動的「雙元系統」(嚴奇峰,1994a、1994b、1996)。前者依循著「擬似家族團體連帶」的運作模式,形塑班底、自己人,企圖影響董事會的選舉,因此,經常爆發企業內接班與傳承之衝突;而後者則是依循著西方企業的「公司治理」及「代理制度」(林穎芬、劉維琪,2003)。本研究分析新纖董座衝突事件,以次及資料法及相關人士之深度訪談,探討衝突發生原因及其社會意涵。研究結果發現,不同組織文化合併而產生組織衝突與磨擦,是衝突事件的遠因。而,「台新金控」主導權之爭,才是爆發家族企業衝突的主要原因。最後,在家族力量與母親的親情壓力之下,「家族權威」逼退具「形式理性」的「公司治理」的「代理制度」。 |
英文摘要 | The enterprises in Taiwan can be divided into two types, one is “relation-oriented” big enterprises, and the other one is “market-oriented” small and median enterprises. Among these enterprises, most are Family owned Business. In these Family Business, there exists a “dual-system” of management, which means two systems of managerial models co-exist, the high-level and the low level (Yen, 1994a, 1994b, 1996). That is, the “Agency Theory” practiced in the West is not vivid in Taiwan Family Business (Lin, Liu, 2003). High-level managers, through the “pseudo family group solidarity”, shape their own groups and try to influence the operation and the election of board of directors. Therefore, Organizational Conflicts are occurred. This research analyses the conflict for the Presdiential of ShinKong Synthetic Fibers Corporation. This research finds that the organizational friction caused from the merge of two different organizational cultures is a reason of this conflict of Presidential. Besides, the main reason of this conflict is the struggle for the Presidential of 台新金控. Finally, under the pressure of family and Mother, the family authority win in this struggle for Presidential. |
