中文摘要 | 國際合資經營方式是近年來多國籍企業進入開發中國家最普遍採用的進入方式,其中合資企業的所有權與控制權的安排被認為是影響績效的重要因素,本文利用以中國大陸683個中外合資企業為調查樣本,實証研究發現:持有合資企業多數股權的臺灣企業,將日常營運委託當地合資夥伴代理時,可因利用當地商的資源與關係而獲利;然而當歐美及日本企業採取這種所有權與控制權不對稱的作法時,常因文化差距較大,而難以監督中方代理人的投機自利行為,出現較差的合資企業績效,此時外商常需要透過一些監督機制來緩和代理人自利投機的行為,例如控制產品研發的技術源頭。 |
英文摘要 | International Joint Ventures (IJVs) have been used as the predominant entry strategy by multinational companies in recent years to access developing countries’ markets. Consideration of joint venture ownership and control is recognized as the most important factor affecting operating results. This research is based upon a database of 683 IJVs operating in China and the empirical results illustrated: When joint ventures majority owned by Taiwanese enterprises delegate the operational tasks to their local joint venture partners, they can benefit from the local partners’ resources and connections, and thus operate profitably. However, when such asymmetry between ownership and control is used by joint venture majority partners from Europe, United States and Japan, due to the significant cultural difference, it is often very difficult to monitor the Chinese agent’s self-serving behavior; on the contrary, this may have a negative effect on the joint venture enterprises’ operating results. At such a time, the foreign joint venture partner often needs to implement certain governance mechanisms to mitigate the agent’s self-serving behavior, such as imosing further controls over the technology source for product development. |
