| 中文摘要 | 重整成功的判斷標準應是重整計劃執行完畢並且重整程序終結。而重整計劃執行監督人制度是保 障重整計劃執行完畢的重要機制。當前,我國《企業破產法》未設置單獨的監督人制度,面臨著管理人缺乏監 督能力、監督職權規定不完備以及監督期限不合理等問題。為此,我國在修訂《企業破產法》時,應單獨設立 監督人制度,選任破產事務管理機構或適格債權人擔任監督人。同時,應當完善監督權的具體內容,即明確檢 查權的行權程序與法律後果,增設重大行為許可權,完善重整計劃執行困難的應對措施等。此外,需要根據個 案情況合理設置監督期限與選任監督主體。 |
| 英文摘要 | Successful reorganisation should be judged by the completion of the implementation of the reorganisa- tion plan and the conclusion of the reorganisation process. The system of supervisor of the execution of the reorganisation plan is an important mechanism to ensure the completion of the execution of the reorganisation plan. Currently, China's Enterprise Bankruptcy Law does not have a separate supervisor system, and faces problems such as lack of superviso- ry capacity of the administrator, incomplete supervisory duties, and unreasonable supervisory period. For this reason, when amending the Enterprise Bankruptcy Law, China should establish a separate supervisor system and appoint the insolvency administration organisation or suitable creditors as supervisors. At the same time, the specific contents of the supervisor's power should be improved, i.e., the procedure and legal consequences of the power of inspection should be clarified, the power of permission for major acts should be added, and the countermeasures for failure to implement the reorganisation plan should be improved. In addition, the duration of supervision and the selection of the supervisor should be reasonably set according to the circumstances of each case. |
