中文摘要 | 先買權的制度運作是實務上重要問題,不過,既有相關學說研究仍有不足。例如土地法第三十四條之一他共有人優先購買權競合的議題,即甚有爭議,且此對共有人的利益影響頗大。本文先臚列相關規定與既有的不同觀點,再提出本文分析。本文著重於不動產的有效利用與相關當事人的利益衡量、成本效益分析,就既有的學說、實務見解及修正草案予以回應,並提出建議。本文以為,就他共有人先買權的競合,在不違反先買權規範意旨等範圍內,宜考慮由出賣人決定孰為買受人的可能性。 |
英文摘要 | The system of the right of first refusal is an important issue in practice. However, the existing studies are insufficient. For example, there are controversies regarding "the conflict of several other co-owners' rights of first refusal of Article 34-1 of the Land Act". The issue has a great influence on the interests of the co-owners. This study lists the concerned provisions and the existing different viewpoints and then analyzes the issue. This study emphasizes effective utilization of the real estate and the interests of the concerned parties and stresses on the cost-benefit analysis. This study discusses the existing doctrine, practice, and the draft amendment and makes some propositions. As for the conflict of several other co-owners' rights of first refusal, the possibility of the decision made by the seller shall be considered in the scope of the purpose of the rights of first refusal. |
