中文摘要 | 美國法承認「出賣人優先權」與「買受人優先權」,日本法則僅承認「出賣人優先權」。基於效率與公平的考量,我國法應承認「出賣人優先權」與「買受人優先權」。而買賣優先權的承認與否,與物權變動是否採取「意思主義」並無絕對必然的關係。關於「出賣人優先權」,2009年民法物權編增訂有關「不動產分割應受補償人優先權」的規定,與其有共通的法理;關於「買受人優先權」,不動產交易法草案二版本均有規定,且承認買受人優先權後,將能更妥適地解決一物二賣的問題。 在不危害交易安全的前提下,買賣優先權優先於抵押權,劣後於承攬人抵押權。當抵押權人善意而無重大過失不知有買賣優先權存在時,買賣優先權則無優先於抵押權的效力。 |
英文摘要 | There are vendors' liens and purchasers' liens in American law, while there are only vendors' liens in Japanese law. In view of efficiency and equity, Taiwan should add provisions concerning vendors' liens and purchasers' liens. There is no close relationship between ”acknowledgement of vendors' liens and purchasers' liens” and ”the doctrine of autonomy of the parties regarding property transfer.” As to vendors' liens, the augmented provision about ”compensable person's lien because of the partition of real estate” in Civil Code has the same policy basis; as to purchasers' liens, there are relevant provisions in the two bills regulating real estate transactions, and purchasers' liens contribute to solve the problem of ”a thing sold twice” more properly. On the condition of the safety of the transactions, vendors’ liens and purchasers' liens shall have priority over mortgages, but shall be postponed to mechanics' liens. When mortgagees are bona fide, vendors' liens and purchasers' liens shall be postponed to mortgages. |
