| 中文摘要 | 保險監理機構為確保人壽保險業於日後保險契約中所載給付條件成就時,能依約履行給付保險金之責任,遂修正人壽保險業提存責任準備金規定以為保單持有人權益之保護。惟如此之修正,預計將大幅降低人壽保險公司對初年度可用費用、限制人壽保險公司之業務經營規模、降低公司之獲利能力,進而影響公司財務健全,促使人壽保險業尋求另一籌募資金方法以解決責任準備金提存不足之窘境,而責任準備金證券化即基於上述需求順勢而生。雖責任準備金證券化概念之運用與巨災債券相同均源自於「資產證券化」,惟此二者間亦存有若干不同之處。其中本文認為準備金證券化主要發行目的乃為融資,而投資人幾無承擔創始機構之核保危險,故非屬保險或類似保險業務之一,亦與再保險契約之要件有所未合;且特殊目的再保險機構受讓創始機構之承保風險責任,此亦與金融資產證券乃係受讓創始機構之金融資產有別,實不屬於我國金融資產券化條例下之金融資產證券,故此證券之發行亦無該法之適用;另因我國對再保險人如何提供保險人再保險信用亦無任何規範可供遵循。職是,本文建議責任準備金證券化如欲於我國發行,除須先克服發行上之問題外,主管機構尚須明定再保險人提供擔保之方式及增列專業再保險業提存責任準備金之方式,以供業者遵循。 |
| 英文摘要 | The use of insurance securization is a financial innovation which insurers have been used as a method of obtaining capital or enhancing their underwriting capacity. This article examines the impact of modifying regulation of statutory reserve and evaluates the possible legal problems that might have arisen in connection with Triple X securitization if issued in Taiwan. By analyzing the definition, function, and characteristics of Triple X securitization, this article has found that Triple X securitization is neither one of insurance business nor classifying as reinsurance. Furthermore, Triple X securitization is not one of so-called "asset-backed securitization" but "liability-based securitization", so the issuance of Triple X securitization is not regulated under "Financial Asset Securitization Act of Taiwan". Finally, this article will offer some suggestions and recommend the "NAIC Model Acts" could be one of. |
