中文摘要 | 由於網路電子交易的快速發展,不但降低了交易成本並提昇交易的效率,也衍生諸多的法律問題。另一方面,電子交的進行,不僅對一般人的日常生活發生實質的影響,對於交易所涉及的相關法律問題與法律的架構,亦產生相當的衝擊。由於與傳統交易的差別,因在電子交易過程中,最基礎且最亟需解決的問題,就是電子文件、電子記錄與電子簽章的法律效力與證據問題。 為了解決這些基本問題所帶來的挑戰,不僅聯合國對此非常重視,各政府也紛紛立法嘗試解決等通所衍生的法律挑戰。例如聯合國國際貿易委員會(UCITRAL)就在1996年通過電子交易模範法,又在2000年完成電子簽章模範規則。其他國家也紛紛訂定電子簽章法或電子交易法以為因應。 而在諸多外國立法例中,影響各曘大並與我關係較為密切的,就屬美國的相關法制最為密切。這是因為美電子商務發領先全球,美業者在電子商之技術與應用方面亦獨步全球。因此本文特別從比較法的觀點,對美電子簽章法制之立法,特別是屬於州沄範疇的美國統一電子交易法(UETA)與屬於聯邦法的電子簽章法(E-SIGN)加以探討,並與我國於九十一年四月一日正式實施的電子簽章法之勵法規範加以比較。作者並提出我國電子簽章法立沄的缺失。以供各界參酌,並期許我國電子簽章法能夠在精益求精,成為我國發展電子商務的基石。 |
英文摘要 | With the rapid popularity of Internet, the costs and the efficiency of electronic transaction have increased accordingly. It is objective to say that the electronic transaction not only has fundamental impacts for people around the world, but also is challenging the very legal structure that is the foundation of all transaction. Among all the issues that arise because of the electronic transaction, the most controversy issues are the validity and the evidential effects of electronic signatures, electronic documents and electronic records. Since these issues are the bedrock of the electronic transaction, international organizations, such as UNICTRAL, as well as national governments have expressed their commitments in laying down the legal foundation for electronic commerce. For example, UNCITRAL has lead the way be adopting the “UNCITRAL Model Law on electronic Commerce” in 1996. Thereafter UNCITRAL further passed the “Uniform Rules on Electronic Signatures” in 2000. in the national level, most national government has passed or adopted various electronic transaction legislations in order to cope with the demand of rapidly expanding electronic commerce. Among all the national legislation, the United States legislation, including the model law of “Uniform Electronic Transactions ACT” (UETA) and the “Electronic Signatures in Global and national Commerce Act” (E-SIGN), are the most important ones because US is leading the world in electronic commerce and also the leader for related technologies and applications. Pursuant to these two legislations, it is obvious that US is adopting an approach to resolve the major issues relating to the electronic transaction. In Taiwan, even though the “Electronic Signatures Law” was enacted and went into effect on April 1, 2002, the Taiwanese Law is a limited legislation that only partially admits the validity of electronic signatures and electronic documents. As to the transaction side, the Taiwanese Law seems is void in very aspects. The purpose of this article, therefore, is to explore US legislations, i.e., UETA and E-SIGN, and Taiwanese’ Electronic Signatures Law. Moreover, the authors try to compare the differences between these legislations. The authors conclude that Taiwanese legislation is deficient in dealing with the electronic transaction it intends to cope with. Much more works have to be done before Taiwanese Electronic signatures Law can deal with the electronic commerce effectively. |
