英文摘要 | Roll's (1986)hubris hypothesis says that companies might be too optimistic about their ability to explore the potential value of target firms, and pay too much for the accquired firm. to emphasize the significance of overvalue of the target firm, six cases from Taiwan will be referred to, to test Roll's hubris hypothesis. Findings against this hypothesis and their general implications will be generated from these cases. It appears that a successful acquisition needs a stragetic approach compatible with corporate objectives. Therefore, the aim of this dissentration is to examine the strategy for successful international acquisition by looking at how to find and evaluate the target company appropriately with regard to the international markets as a whole, such as european, US and Japanese markets. On top of this, I would lkie to suggest that companies should consider their objectives while conducting business. In terms of international acquisition, the foreign buyer is most likely to run the target firm as a going concern, then the post acquisition management will determine the fate of the target company of may have a significant impact on the parent company as well. Most importantly, in post acquisition management, apart form the accounting policy briefly mentioned, I would like to emphasize human resources, which is especially problematic since companies usually find it difficult to find suitable employees in foreign countries. The issue of human resources is often linked with cultural differences, language, work concept and so forth. Again, how to control a target company abroad is difficult and will be discussed. The scope of this research entails the following aspects; Chapter One introduces the motives of this research and the sources of information. Chapter Two gives the theoretical background of international acquisition. In Chapter Three, a stratety for international acquisition is examined. Chapter Four presents the Roll's hubris hypothesis and describes six cases. Chapter Five generates some findings against this theory and derives implications form the cases. Chapter Six is by way of conclusion, a discussion of alternatives, such as the practices of strategic alliance and joint venture. |
