中文摘要 | 在國際化及全球化的趨勢下,企業面臨激烈之競爭行為,而欲維持競爭優勢的方法就是持續升級,透過規模經濟與範疇經濟以降低成本。然而,為了提升競爭力,無不絞盡腦汁以尋求創新的方法,才能有效應變。而企業面臨困難之經營環境,只有透過找尋可用資源,才能有生存與成長之空間,因此,企業最快速的成長策略就是併購。在企業執行併購的過程中,併購談判為影響併購成敗的重要關鍵,因此企業面對此重要過程時,對於企業併購談判應有所暸解,以有助併購活動的進行。本研究以個案研究方式分析「國巨併購飛利浦被動元件廠」之併購過程中,企業併購談判時權力因素、談判戰術以及對併購結果問之相互關係,以為未來企業併購者參考。 |
英文摘要 | Under the internationalization and global trend, enterprises face the fierce competition, and if they want to maintain the competition advantage, the method is upgrading continuously, through large-scale production and category economy, in order to lower costs. However, in order to improve the competitiveness, beating brains out for innovate methods could meet an emergencies effectively. Besides, when enterprises face the difficult management environment, there could be a space for surviving and growing up only by looking for available resources, so the fastest growth tactic for enterprises is merger. During the process of carrying out merger, merging negotiation is the key to the success or failure of the merger, so enterprises should understand the merging negotiation to do usefully for the merger, while facing the important process. This research is analysed by way of case study. In the process of "The merger of Philip passive component factory by Yageo", the inter-reaction among the results for the power factor, tactics of negotiating at the time of the merging negotiation, is thought for future reference of the enterprises and consumers. |
